By accessing and using Sortly ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Description of Service

Sortly is a file management application that helps users organize, manage, and access their files efficiently. The Service is a paid subscription service.

User Accounts

Account Creation

To use our Service, you must:

• Provide accurate and complete information

• Maintain the security of your account credentials

• Accept responsibility for all activities under your account

Account Termination

You may terminate your account at any time. We reserve the right to suspend or terminate accounts that violate these Terms or our policies.

Acceptable Use

You agree not to use the Service to:

• Store or distribute illegal, harmful, or malicious content

• Violate any applicable laws or regulations

• Infringe on intellectual property rights

• Engage in spam, phishing, or fraudulent activities

• Attempt to gain unauthorized access to our systems

• Interfere with or disrupt the Service

• Use the Service for commercial purposes without proper licensing

File Storage and Data

You retain ownership of all content you submit to our Service. By using Sortly, you grant us:

• A license to receive, process, and respond to your content

Paid Services

Subscription Plans

We offer premium features through subscription plans:

• Subscriptions are billed annually in advance

• Prices are subject to change with 30 days notice

• No refunds for partial years or unused portions

Payment Processing

All payments are processed securely through Stripe. You agree to provide accurate payment information and authorize charges to your selected payment method.

Intellectual Property

Our Rights

The Service and its original content, features, and functionality are owned by Sortly and are protected by international copyright, trademark, and other intellectual property laws.

Your Rights

You retain all rights to your content. We do not claim ownership of your files or data, except for the limited licenses granted in these Terms.

Privacy

Sortly operates with privacy by design. We do not store copies of your files or maintain logs of your file operations. All file processing happens locally on your device, with AI assistance provided through anonymized server requests that retain no data.

Service Availability

Sortly requires an active internet connection for AI-powered sorting features. While the application can function with basic sorting capabilities offline, premium features including vision-based sorting and custom AI commands require server connectivity.

Disclaimers

Sortly is provided "as is" without warranties of any kind. We are not responsible for any adverse effects resulting from events beyond our control, including but not limited to acts of God, hardware failures, data corruption, bit flips, power outages, or other technical failures that may result in loss of files or data.

• Always backup important files before using automated sorting

• Review sorting previews before confirming operations

• Use the revert feature if incorrect sorting occurs

• We are not liable for accidental file deletions or misplacements

Limitation of Liability

To the fullest extent permitted by law, Sortly and Kraftworks LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service.

Our total liability for any claims arising out of or relating to these terms or the service shall not exceed the amount you paid for the service in the twelve (12) months preceding the claim.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States, without regard to its conflict of law principles. Any disputes arising from these terms shall be resolved in the courts located in Richmond, Kentucky.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting. Your continued use of the service after any modifications constitutes acceptance of the updated terms. We will provide notice of significant changes via email or through the application.
